Articles of Cultural Association “Alternative Reality”

Chapter 1. Name of the association.
1.1. The name of the Association is the Cultural Association “Alternative Reality” (hereinafter – the Association). The English translation of the name is the Culture Association “Alternative Reality”.
Chapter 2. Legal status of the association.
2.2. The Association is a legal entity with its name and current account with the bank.
2.3. The Association operates in accordance with the laws and regulations of the Republic of Latvia and these Articles of Association.
2.4. The association is established for an indefinite period.
Chapter 3. Aims and activities of the association.
3.1. The association is a creative organization whose goals are:
3.1.1. to promote the opportunities of cultural education, interest education and lifelong learning of an individual, to promote the development of mental and physical personality;
3.1.2. to promote transnational, intercultural communication and cultural exchanges, with a special focus on the involvement of young people in various cultural and educational projects;
3.1.3. to promote social inclusion, in particular for young people with fewer opportunities and / or special needs, as well as for young people from rural and marginalized backgrounds;
3.1.4. To promote youth initiatives and participation in decision-making and public life;
3.1.5. to support formal and informal forms of youth participation;
3.1.6. to promote the expression of young people’s views through social media and creative methods;
3.1.7. to ensure that young people have equal access to non-formal education and to the day-to-day decision-making process, regardless of their origin, social status, cultural, gender or national differences, health status or disabilities;
3.1.8. to ensure access to lifelong learning for the society, regardless of their age, gender, previous education, place of residence, income level, ethnicity, health status or functional impairment;
3.1.9. to promote gender equality;
3.1.11. to promote volunteering;
3.1.12. to promote environmental protection and sustainability;
3.1.13. to ensure visibility and quality information for all young people about youth organizations and European youth programs;
3.1.14. to raise the level of culture and spirit of Latvian youth;
3.1.15.to promote the comprehensive development of youth in the fields of culture, history, law and other fields necessary for an educated person in modern society;
3.1.16. to promote the improvement of the mental health and well-being of children and young people;
3.1.17. to promote the reduction of risks to the psycho-emotional health of children and young people;
3.1.18. to promote the diversity of cultural and creativity-related training programs in Latvia and Europe, to encourage public involvement in cultural processes;
3.1.19. to enrich the cultural environment of Latvia with the production of various cultural events and projects, with special emphasis on the traditions and innovative creative ideas of different cultures;
3.1.20. to attract young people to a healthy lifestyle by organizing various types of tourism, active leisure and sports activities for children, adolescents and young people;
3.1.21. to create an offer of quality lifelong learning and non-formal education for adults, which ensures sustainable competences for work, civic participation, personal development and promotes the development of a competitive knowledge economy and democratic society based on high skills in Latvia;
3.1.22. to promote youth work in Latvia and Europe;
3.1.23. support cross-sectoral and multimedia projects;
3.1.24. to promote co-operation between communities and co-operation between Latvian and foreign entrepreneurs and representatives of the cultural sector in order to achieve common goals;
3.1.25. to establish cooperation relations with organizations whose goals coincide with the goals of the Association.
3.2. Types of activity of the association:
3.2.1.organization and implementation of various types of educational events and projects on a regional, national and international scale – lectures, conferences, discussions, seminars, non-formal education projects for young people and youth workers;
3.2.2. organization of support activities for young people with fewer opportunities;
3.2.3. organization of mentoring in support of youth
3.2.4. organization of support activities for the improvement of young people’s psycho-emotional health;
3.2.5. organization of sports, leisure and tourism activities and events for children and young people;
3.2.6. organization of environment activities
3.2.7. organization of volunteering projects and activities
3.2.8. organization of public actions and campaigns;
3.2.9. organization and coordination of youth centers and creative centers
3.2.10. organization of regional, national and international cultural projects and events, i.e. organization of festivals, carnivals, competitions and concerts independently or in co-operation with state and local government institutions as well as foreign partners and non-governmental organizations;
3.2.11. Arranging and conducting of creative projects, events and activities, including conferences, seminars, open discussions, creative workshops, workshops, etc. organizing events independently or in cooperation with state and local government institutions,
3.2.12. supporting the concert activities of dance and music management groups and soloists;
3.2.13. organization and support of professional development courses, seminars, creative camps and other events related to further education;
3.2.14. development and implementation of interest education and further education programs and cultural projects;
3.2.15. publishing;
3.2.16. organization of charity events, raising and raising funds through donations;
3.2.17. Involvement in projects, their coordination, attraction of financial, material, intellectual and other resources to achieve their goals.
3.2.18. cooperation with other organizations, the goals of which coincide with the goals of the Association;
3.2.19. performance of economic activity, as well as support of other activities for achieving the goals of the Association, which is not in conflict with the regulatory enactments of the Republic of Latvia.
Chapter 4. Membership in the Association, withdrawal and expulsion.
4.1. Any able-bodied natural and legal person or a legal partnership that supports the goals and tasks referred to in the Articles of Association may join the Association by submitting a written application in a certain form; The form of the application and the list of documents to be attached to it are determined by the Board of the Association.
4.2. The decision to admit a member to the Association is made by the Board. The Board must consider the applicant’s request at the next meeting, but not later than within two weeks from the receipt of all necessary documents. The applicant himself shall be invited to a meeting of the Board at which the applicant’s application is considered and shall be given the opportunity to express his or her opinion. The absence of the applicant is not an obstacle to the decision of the board. The Board must notify the applicant in writing of the motivated decision within one week of its adoption.
4.3. The applicant may appeal the negative decision of the Board to the general meeting of members in writing. If the general meeting of members also rejects the applicant’s application, the applicant has not been admitted as a member of the Association, and he may submit a repeated application not earlier than after the expiry of the one-year term.
4.4. A member may withdraw from the Association at any time by notifying the Board in writing;
4.5. A member may be expelled from the Association by a decision of the Board if:
4.5.1. the member has not paid the membership fee for more than 12 months;
4.5.2. the member does not comply with the decisions of the general meeting and the board;
4.5.3. the member fails to perform his or her duties and obligations;
4.5.4. the member performs other activities that are in conflict with the provisions of these Articles of Association.
4.6.The Board considers the issue of expulsion of a member of the Association during the next meeting, inviting the expelled member and giving him the floor to express his opinion. The absence of a member to be expelled shall not be an obstacle to the decision of the Board. The Board shall notify the member to be expelled in writing of the decision to expel a member from the association and the reasons for this decision within five days from the moment of its adoption.
Chapter 5. Rights and obligations of members.
5.1. The members of the Association have the following rights:
5.1.1. to participate in the management of the Association,
5.1.2. to receive information about the activities of the Association, including to get acquainted with the protocols, decisions and orders of all the institutions of the Association,
5.1.3. to participate in all events organized by the Association, to submit proposals on the activities of the Association and its improvement, to defend one’s opinion,
5.1.4. to work freely in other organizations;
5.1.5. to freely withdraw from the Association by submitting a written application to the Board.
5.2. Duties of the members of the Association:
5.2.1. to observe the statutes of the Association and to fulfill the decisions of the members’ meeting and the board
5.2.2. pay membership fees regularly,
5.2.3. to support the realization of the goal and tasks of the Association with its active participation,
5.2.4. to prevent actions that damage the reputation of the Association.
5.3. Obligations to a member may be determined by a decision of the members’ meeting or the board. The imposition of obligations on a member that differ from those of other members requires the consent of that member.
Chapter 6. Structural units of the association.
6.1. Territorial and other structural units of the Association may be established by the decision of the members’ meeting;
6.2. The activities, rights and obligations of the structural unit, as well as relations with the Association are regulated by the regulations of the structural unit, which are approved by the meeting of the members of the Association.
Chapter 7. Convening a meeting of members and making decisions.
7.1. The meeting of members is the highest decision-making body of the Association.
7.2. All members of the Association are entitled to participate in the members’ meeting. Members may participate in the members’ meeting only in person.
7.3. The regular meeting of members is convened once a year – no later than March 31.
7.4. An extraordinary meeting of members may be convened on the initiative of the Board, or if it is requested in writing by at least one tenth of the members of the Association, indicating the reason for convening.
7.5. The members must be informed about the convening of the general meeting of the Association not later than 15 days before the convening of the general meeting.
7.6. A meeting of members has the right to decide if more than half of the members participate in it.
7.7. If the members’ meeting does not have a quorum due to a lack of quorum, a repeated meeting of members shall be convened within three weeks, which shall be entitled to take decisions regardless of the number of members present, provided that at least two members participate.
7.8. The decision of the members’ meeting is adopted if more than half of the present members vote for it. The decision on amendments to the Articles of Association, termination and continuation of the activities of the Association is made if more than two thirds of the present members vote for it.
Chapter 8. Executive body.
8.1.The executive body of the Association is the Board, which consists of one member of the Board, who is the Chairman of the Board.
8.2. The members’ meeting elects the board for 3 years.
8.3. Board of directors:
8.3.1. Performs the operational management of the Association
8.3.2. ensures the convening of the members’ meeting and organizes its work,
8.3.3. prepares and participates in members’ meetings,
8.3.4. manages and manages the activities of the Association, ensuring the implementation of the decisions of the general meeting of the members of the Association, as well as prepares all the necessary documents and performs the organizational work necessary for the implementation of the decisions,
8.3.5. organizes the accounting and record keeping of the Association,
8.3.6. represents the Association and ensures regular exchange of information with state and other institutions, as well as foreign and international organizations,
8.3.7. Contracts and other agreements are concluded on behalf of the Association,
8.3.8. if necessary, recruit and dismiss employees of the Association’s office, determine salaries and other economic expenses within the budget approved by the Members’ Meeting,
8.3.9. manages the property of the Association and organizes it with its funds and property in accordance with the statutes and decisions of the general meeting of members
8.3.10. develops normative documents regulating the activities of the Association,
8.3.11. decides on all issues that are not within the exclusive competence of the meeting of members;
8.3.12. admits new members in the intervals between the general meetings of the members of the Association, if they agree and support the goals and tasks of the Association;
8.4. A member of the Board performs his / her duties for remuneration, the amount of which is determined by the meeting of members within the limits of the approved budget.
8.5.A member of the Board may be removed by the members’ meeting only if there is an important reason for it.
Chapter 9. Auditor
9.1. The financial and economic activities of the Association are controlled by an auditor elected by the members’ meeting for one year.
9.2. The auditor of the Association cannot be a member of the Board of the Association.
9.3. Auditor:
9.3.1. performs the audit of the property and financial resources of the Association;
9.3.2. gives an opinion on the budget and annual report of the Association;
9.3.3. evaluates the accounting and record keeping work of the Association;
9.3.4. provides recommendations on the improvement of the financial and economic activities of the Association;
9.4. The auditor performs the audit within the terms set by the members’ meeting, but not less than once a year.
9.5. The members’ meeting approves the annual report of the Association only after receiving the Auditor’s opinion.
Chapter 10. Membership fees
10.1 The amount and procedure of the membership fee is determined by the decision of the members’ meeting.
Chapter 11. Financial resources of the Association, the procedure for obtaining and using them
11.1. The funds of the association consist of:
11.1.1. Membership fees and membership fees;
11.1.2. donations and grants from legal and natural persons;
11.1.3. state and local government budget financing for the implementation of programs and projects;
11.1.4. income from the economic activity of the Association;
11.1.5. other legally permitted income.
11.2. The funds of the Association are used in accordance with the orders of the Board of the Association:
11.2.1. To fulfill the goals and tasks of the Association;
11.2.2. To ensure the operation of the Association;
11.2.3. staffing.
